EBAY AND PAYPAL DEVELOPER CHALLENGE 2008 OFFICIAL RULES OPEN TO LEGAL RESIDENTS OF SINGAPORE, MALAYSIA, PHILIPPINES AND THAILAND, 18 YEARS OF AGE OR OLDER, WHO ARE MEMBERS OF THE EBAY AND/OR PAYPAL DEVELOPERS PROGRAM. . 1. ELIGIBILITY: The eBay Developer Challenge 2008 (the “Contest”) is open to legal residents of Singapore, Malaysia, Philippines and Thailand who are 18 years of age or older and who are members of the eBay Developers Program and/or the Paypal Developers Program. Void in other international countries and where prohibited. Employees, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and their respective household members, of eBay International A.G. (“eBay”) or PayPal Pte Ltd (“PayPal”) (each a “Sponsor” and collectively, the “Sponsors”) and their affiliates, subsidiaries and related companies are not eligible to enter. The Contest is subject to Singapore law and all disputes arising out of the Contest shall be subject to the exclusive jurisdiction of the Singapore courts.. 2. CONTEST TIMING: The Contest begins at 12:00:01 am Singapore Time (GMT +8) on June 24, 2008 and ends 11:59:59 pm Singapore Time on September 20, 2008 (the “Entry Period”). 3. CONTEST DESCRIPTION: The Contest challenges participants to create original, code-based and/or public code-based (open source) programs using eBay Web Services new unified schema, and/or PayPal APIs, which could serve as innovative buyer/seller and affiliate tools. Members will be asked to submit this program along with a 1000-word or less essay describing this program’s achievements. There will be one (1) First Prize, one (1) Second Prize, one (1) Third Prize and three (3) Merit Prizes awarded. 4. HOW TO ENTER: To enter the Contest, eligible participants will go to http://developer.ebay.com.sg/devchallenge2008/index.html (“Contest Site”) and click on the link http://developer.ebay.com.sg/devchallenge2008/registration.html to the Contest registration page (“Registration Form”). Participants must be a member of both the eBay Developers Program and/or the PayPal Developers Program to register and enter. If you are not already a member, please visit http://developer.ebay.com/join/ to join the eBay Developers Program, and/or https://developer.paypal.com to join the Paypal Developers Program. Complete and submit the Registration Form. If you are registering only for yourself, you must provide your eBay Developers Program User ID and/or your PayPal Developer Central User ID. If you are registering on behalf of a larger team, the individual that is the project owner of the application being registered under this Contest (“Project Owner”) must provide his/her eBay Developers Program ID and/or PayPal Developer Central ID, along with the eBay Developers Program User IDs and PayPal Developer Central IDs of up to three (3) members of his/her team at time of entry. All Team submissions, must be submitted by the Project Owner of the codebase project. You will also be asked to include on the registration form the url where your application can be seen. Completed applications cannot exceed 10MB in size. Additionally, you will be asked on the Registration Form to include an essay of 1000 words or less describing how the application/code performs as an innovative buyer/seller or affiliate tool for eBay and/or PayPal or an innovative payments tool related to PayPal. You must acknowledge that you have read and you agree to these Official Rules by checking the box that appears on the Registration Form. Entries must be received by September 20, 2008 in order to be eligible. There is a limit of one entry per eBay Developers Program and/or Paypal Developer Central User ID. Submissions must be written in the eBay Web Services unified schema and/or integrated using PayPal APIs. Submissions written in eBay legacy schema, which expired in June 2006, will not be accepted. Subsequent entries submitted by an Entrant or Entrants are void. Each Team member involved in submitting an entry must meet the eligibility criteria and consent to the submission by executing the Registration Form. For purposes of Team entries, all members thereof shall jointly and severally, be deemed the “Entrant”. Registration Forms for all Team members must be submitted together and indicate all Team members thereon. A single Team member shall be designated as the Project Owner for the entry, and shall be responsible for the Team entry any/all required registrations. The designated Project Owner shall be deemed the contact person for all purposes regarding the Contest. Any prize awarded to a Team entry shall be entrusted to the designated Project Owner and it shall be Project Owner’s responsibility to split the prize amongst all Team members. Additionally, in the event of trip prizes awarded to a Team entry, the designated Project Owner shall be the point of contact for Sponsor and/or Administrator of this Contest (as defined below) in making travel arrangements. If any member of a winning Team fails to return the required documentation within the allocated time, the prize will go to the next runner-up. Entrant retains any rights to ownership in the application that entrant submits as an entry (not including essay submitted); the Sponsors will not gain ownership rights to these applications. Entries submitted under the Team Category shall be subject to the terms and conditions of the eBay Community Codebase. Essay portion of entry becomes the property of the Sponsors and will not be acknowledged or returned. Entry, which includes Registration Form, access to application and essay, must be in keeping with the Sponsor’s image, and may not be offensive, nor can it defame, or invade upon the publicity rights or privacy of any person or otherwise infringe upon any person or entity’s personal or proprietary rights (including without limitation intellectual property rights), as determined by the judges in their sole discretion. Incomplete entries or entries not complying with these Official Rules are subject to disqualification. Sponsors are not responsible for late, lost, incomplete, illegible, damaged, or misdirected entries. Sponsors’ decisions are final on all matters relating to this Contest. Use of the eBay site is subject to the eBay User Agreement and Privacy Policy available on the eBay site and use of the PayPal site is subject to the PayPal User Agreement and Privacy Policy available on the PayPal site. 5. REPRESENTATIONS AND WARRANTIES: Entrant represents and warrants the following: 1) that he/she is the original author (or represents and warrants that the owner of such rights has expressly granted any and all licenses or consents necessary for the use) of any and all entry materials posted, uploaded, or otherwise sent to the Sponsors (modifying, enhancing or altering a third party’s pre-existing work does not qualify as entrant’s original creation); 2) the entry will not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy. Entrants are prohibited from posting, uploading, or otherwise sending to the Sponsors any entry material that infringes on any copyright, trademark or proprietary rights of another (including publicity and privacy rights); 3) that the submission is not the subject of any actual or threatened litigation or claim; 4) that the entry material is not obscene, offensive, libelous, pornographic, threatening, abusive, contains illegal content, or is otherwise objectionable, that would constitute or encourage a criminal offense, or that would otherwise give rise to liability or violate any law. Entrant acknowledges that nothing herein shall constitute an employment, joint venture, or partnership relationship between entrant and Sponsors. In no way is entrant to be construed as the agent or to be acting as the agent of Sponsors in any respect. 6. JUDGING: All entries will be judged as follows: Innovation using eBay and/or PayPal Web Services – the uniqueness of the idea and how it integrates with the eBay and/or PayPal Web Services unified schema: 30%; Value – as determined by the ability of the application to solve existing problems, add new features which can be used by the community, or even become a future eBay and/or PayPal project: 30%. Concept Implementation – Readiness of look and feel, stability: 20%; Code quality – documentation, extensibility, maintainability, reliability, scalability: 20%. Judging will be performed by a panel of judges selected by the Sponsor. The top-scoring entry in each category will be declared the First Prize winner. The next top scoring entry in will be declared the Second Prize winner. The third highest scoring entry will be declared the Third Prize winner. Three special merit prizes will be awarded to applications for the following criteria Best Community / Viral Application, Most Fun application, Best Visual / Interaction Design. Becoming a Winner is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules. In the event of a tie, the entries involved in the tie will be reviewed by an additional judge who will serve as a tiebreaker and who will evaluate entries according to criteria listed above. Decision of judges is final and binding on all matters relating to this Contest. 7. WINNER NOTIFICATION: Winners will be notified on or about September 26, 2008 email and/or telephone as provided in their Contest registration details. Winners will be required to sign an affidavit of eligibility and liability release, and where legal, a publicity release, and return same, properly executed, within seven (7) days of issuance. Failure to return documents as specified, or if any notification is returned as undeliverable, will result in disqualification and a runner-up may be selected. Sponsors reserve all rights, including the right to edit, publish, use, adapt, modify, or dispose of any entries, proper names, likenesses, photographs and entry for advertising and promotional purposes in all media (including and without limitation, the Internet) without additional compensation, except where prohibited by law. If an entrant changes his/her telephone number, email address and/or street address after he/she enters the Contest, it is his/her sole responsibility to notify the Sponsors by (postal) mailing notice to eBay’s address (listed below) to be received by the end of the Entry Period. 8. PRIZES: Prizes will be awarded in each category: One (1) First Prize: SGD $10,000 cash. One (1) Second Prize: SGD $8,000 cash. One (1) Third Prize: SGD $5,000 cash. Three (3) Merit Prizes: SGD $1000 for Best Community / Viral Application. SGD $500 for Best Interactive / Visual Design. SGD $500 for Most Fun Application. All cash prizes will be awarded in the form of payment to the main entrant’s valid PayPal account which must have the same email address as that used for the Contest Registration. The Prizes will be awarded to the winners' qualifying PayPal account, which must be a Singapore, Malaysian, Thai, or Philippine resident account, a minimum of six weeks after notification of winning, but not later than December 31, 2008. In the event that payment into the winner’s PayPal account is not feasible, alternate payment arrangements will be made at the discretion of Sponsors. Prize is subject to availability and Sponsors reserve the right, in their sole discretion, to award a prize of equal or lesser value if advertised prize is unavailable. Prizes are not transferable; no substitutions or cash equivalents are permitted, except by the Sponsors at their sole discretion. All taxes and any other costs related to this prize not specifically stated within these Official Rules are the sole responsibility of the winner. Limit one prize per person or Team. An entrant submitting an Individual entry may also submit an entry as the Project Owner of a Team effort codebase project. All prizes will be awarded provided there are a sufficient number of entries received. Winners shall receive no further compensation or credit for use of the entry submission other than that disclosed in these Official Rules. Sponsors shall have no obligation (express or implied) to further exploit, develop, produce, or distribute any entry submission. 9. CONDITIONS OF PARTICIPATION: By entering, entrants agree to be bound by these Official Rules including all eligibility requirements. By accepting a prize, each winner consents to the use of his/her name, image, likeness, photography, voice, and biographical material and to the use of the application that was submitted as an entry for advertising, publicity, demonstration, and promotional purposes by Sponsors, or a party designated by the Sponsors, including but not limited to, any online announcements, without additional compensation, except where prohibited by law. ENTRANTS RELEASE AND HOLD HARMLESS SPONSORS, THEIR AFFILIATES, SUBSIDIARIES, DIVISIONS, ADVERTISING AND PROMOTION AGENCIES AND THEIR EMPLOYEES, OFFICERS, DIRECTORS AND SHAREHOLDERS (“RELEASEES”) FROM ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND (SAVE FOR PERSONAL INJURY OR DEATH ARISING FROM THE GROSS NEGILGENCE OR WILFUL ACTS OF THE RELEASEES), RESULTING FROM PARTICIPATING IN THIS CONTEST OR FROM THE ACCEPTANCE, POSSESSION, OR USE OR MISUSE OF ANY PRIZE AWARDED OR PARTICIPATION IN ANY PRIZE-RELATED ACTIVITY. ENTRANT WAIVES ALL CLAIMS OF ANY NATURE, INCLUDING EXPRESS CONTRACT, IMPLIED-IN-FACT CONTRACT, OR QUASI-CONTRACT, ARISING OUT OF ANY DISCLOSURE OF THE APPLICATION SUBMITTED TO EBAY. ENTRANT AGREES THAT THE CONDITIONS OF SUBMISSION SET FORTH IN THESE OFFICIAL RULES SOLELY GOVERN THE RELATIONSHIP BETWEEN THE ENTRANT AND EBAY AND THAT THERE IS NO CONFIDENTIAL, FIDUCIARY OR OTHER RELATIONSHIP, OTHER THAN ONE OF CONTRACT, BETWEEN THE PARTIES. IN NO EVENT SHALL SPONSORS BE PRECLUDED FROM DISCUSSING, REVIEWING, DEVELOPING FOR ITSELF, HAVING DEVELOPED, OR DEVELOPING FOR THIRD PARTIES, MATERIALS WHICH ARE COMPETITIVE WITH THOSE SET FORTH IN THE APPLICATION ENTRANT SUBMITS IRRESPECTIVE OF THEIR SIMILARITY TO THE INFORMATION IN THE APPLICATION. ENTRANT RECOGNIZES THAT SPONSORS HAVE NO DUTY, EXPRESS OR IMPLIED, TO DETERMINE WHETHER COMPENSATION, IF ANY, WOULD BE PAID FOR THE DISCLOSURE OR USE OF THE APPLICATION PROVIDED BY ENTRANT. 10. LIMITATION OF LIABILITY: Releasees are not responsible for lost, late, illegible, damaged or stolen entries or submissions, or problems of any kind, whether mechanical, human or electronic. Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, inability to access a website or submit an online entry form, fraud, incomplete, garbled, or delayed computer transmissions or inaccurate transcription of entry information, whether caused by the Sponsors, users or by any of the equipment or programming associated with or utilized in this promotion or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the promotion. Entry materials that have been tampered with or altered are void. Sponsors reserve the right, in their sole discretion, to cancel or suspend part or all of this Contest at any time without notice, if in the judges’ opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or integrity and proper play of the Contest. In such event, Sponsors may void any entries they suspect are at issue and award prizes from among all eligible entries received up to the date of cancellation. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE CONTEST SITE, OR ANY ONLINE SERVICE RELATED TO THIS CONTEST OR ANY EBAY OR PAYPAL WEBSITES OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION. Sponsors’ failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsors reserve the right to disqualify entrants who violate the rules or interfere with this Contest in any manner. If an entrant is disqualified, Sponsors reserve the right to terminate that entrant’s eligibility to participate in the Contest. Any attempts by an individual to access any website associated with this competition via a bot script or other brute force attack or any other unauthorized means will result in the IP address becoming ineligible. Use of automated entry devices or programs is prohibited. 11. ANNOUNCEMENT OF WINNERS: Within 14 days of determining the winners, each winner’s first initial, surname and truncated form of username (e.g. a**b) will also be published on the announcement board of www.ebay.com.sg. 12.
